**Proposal of Terms and Conditions for Goodnify - Web-Based Solution**

Thank you for considering Goodnify as a platform to encourage and reward positive contributions to society. Below is a proposal of Terms and Conditions that outline the terms governing the use of our collaborative community platform. Please carefully review the following terms before joining Goodnify:

1. **Acceptance of Terms:**
By accessing or using Goodnify, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the platform.

2. **Purpose of Goodnify:**
Goodnify aims to create a better world by promoting noble values and encouraging good actions that contribute positively to society. The platform enables users (Goodnifiers) to acknowledge and reward these positive contributions.

3. **User Accounts:**
a. To participate in Goodnify, you must create a user account. During the registration process, you must provide accurate and complete information.

b. You are responsible for maintaining the confidentiality of your account login credentials. Any activity that occurs under your account will be your responsibility.

c. Goodnify reserves the right to terminate or suspend any account that violates these Terms and Conditions or engages in abusive or harmful behavior.

4. **Goodnifiers and Positive Contributions:**
a. Goodnifiers are individuals who are part of the Goodnify community and actively participate in recognizing positive contributions made by others.

b. Goodnifiers can express their appreciation for positive contributions by sending a LIKE or a THANK YOU to the respective user.

c. Goodnifiers shall use the platform responsibly and with integrity, ensuring that their acknowledgments are genuine and well-deserved.

5. **Incentives and Rewards:**
a. Goodnify may provide incentives or rewards to Goodnifiers based on their contributions to the platform and the recognition received from other users.

b. The nature and availability of incentives and rewards shall be determined solely by Goodnify and are subject to change at any time without prior notice.

c. Goodnify does not guarantee any specific rewards or benefits to Goodnifiers and may set certain limitations on the distribution of rewards.

d. Rewards are paid using available mechanisms at the moment. The default method is the Goody utility token. 

e. Rewards are computed in base to the accumulated Points.  By default, 15 points are equivalents to 1 Goody. At least 1500 points are needed before requesting conversion.  

f.1 Goody Utility Token is planned to €0.16 value at pre-sales time.

6. **User Conduct:**
a. Goodnify is a community platform that promotes positive interactions. Users are expected to engage respectfully and constructively with others.

b. Users shall not engage in any unlawful, harmful, or abusive behavior while using the platform.

c. The use of automated systems, bots, or any other means to artificially inflate recognition or rewards is strictly prohibited.

7. **Intellectual Property:**
a. Goodnify and its content, including logos, trademarks, and other intellectual property, are the property of Goodnify and protected by applicable laws.

b. Users shall not use Goodnify's intellectual property without prior written permission from Goodnify.

8. **Privacy Policy:**
a. Goodnify respects user privacy and has a separate Privacy Policy that governs the collection and use of personal information. By using Goodnify, you agree to the terms of the Privacy Policy.

9. **Termination and Suspension:**
a. Goodnify reserves the right to terminate or suspend any user account at its sole discretion, especially if there is a violation of these Terms and Conditions.

b. Users may also choose to leave the Goodnify community at any time by requesting the closure of their account.

10. **Modifications to Terms and Services:**
a. Goodnify may update or modify these Terms and Conditions from time to time. Any changes will be effective upon posting on the platform.

b. Continued use of Goodnify after any such changes constitutes your acceptance of the revised terms.

11. **Disclaimer of Warranties:**
a. Goodnify is provided "as is" without any warranty of any kind, whether express or implied.

b. Goodnify does not guarantee the accuracy, reliability, or availability of the platform or its content.

12. **Limitation of Liability:**
a. In no event shall Goodnify be liable to users or any third party for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the platform.

b. Goodnify's total liability to users for any claims shall not exceed the amount paid (if any) to Goodnify in the preceding six months.

13. **Governing Law and Jurisdiction:**
These Terms and Conditions shall be governed by and construed in accordance with the laws of Germany. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Germany.
